Geonode Affiliate & Referral Program Terms and Conditions

These Affiliate & Referral Program Terms (“Agreement”) constitute a binding legal agreement between the participant (“Affiliate,” “you,” or “your”) and Geonode Pte. Ltd. (“we,” “our,” or “us”) governing your participation in the Geonode Affiliate & Referral Program (“Program”).

1. Eligibility

1.1 You must be at least 18 years of age and legally capable of entering into binding contracts. By joining the Program, you represent and warrant that you are of legal age and have full legal authority to enter into this Agreement either on your own behalf or on behalf of your organization.

1.2 We reserve the right to approve or deny any application at our sole discretion and without explanation.

1.3 We may revoke your eligibility or access at any time without prior notice or liability.

2. Commission & Payout Structure

2.1 Commission Rates

Affiliates earn 10% commission on the first purchase made by each referred customer, and 2% commission on all subsequent eligible purchases for a period of up to 12 months.

2.2 Attribution & Tracking

Last-click attribution is used for commission assignment.
Cookies are valid for 30 days. Parent actions are eligible for up to 365 days.
Only referrals made via Geonode’s authorized tracking platform are valid.

2.3 Payout Terms

All commissions are paid in USD, subject to conversion or platform processing rules.

2.4 Ineligibility for Commission

Returning customers or self-referrals do not qualify.
Geonode reserves the right to withhold or reverse commissions for any reason, including suspected fraud, refunds, chargebacks, violation of terms, or disputed payments.

2.5 Audit & Verification Rights

Geonode reserves the right to audit affiliate activities, traffic sources, promotional methods, and performance data at any time, with or without notice. Affiliates must promptly provide documentation, traffic logs, identity verification, campaign data, and any requested information within five (5) calendar days. Failure to cooperate may result in immediate termination and forfeiture of unpaid commissions.

3. Prohibited Conduct

Affiliates may not, under any circumstances:

Bid on Geonode trademarks or misspellings in advertising campaigns.
Use Geonode branding in domain names, social handles, or paid placements.
Misrepresent our services, create fake reviews, or exaggerate capabilities.
Use cookie stuffing, cloaking, spoofing, or unauthorized redirects.
Promote Geonode on platforms containing illegal, adult, hateful, misleading, or harmful content.
Offer rebates, incentives, or bundles not pre-approved by us in writing.
Refer themselves, employees, agents, or associates to earn commissions.
Spam, bots, or any other illegal or unethical promotional behaviour.
Publish or communicate any false, misleading, defamatory, or disparaging remarks about Geonode, its services, team members, or partners, whether in public forums, negotiations, or private communications.

Violation of these rules will result in immediate termination, commission forfeiture, and may lead to legal action.

4. Geonode Intellectual Property

4.1 You are granted a non-exclusive, non-transferable, revocable license to use approved Geonode materials solely for Program participation.

4.2 You must not modify, copy, reverse-engineer, or create derivative works from Geonode content or services.

4.3 All intellectual property remains the sole and exclusive property of Geonode. All goodwill generated from your use benefits Geonode.

4.4 Any feedback, suggestions, or recommendations you provide to Geonode regarding the Program, Services, or promotional strategies become the sole and exclusive property of Geonode. You hereby assign all rights, title, and interest in such feedback to Geonode without restriction or compensation.

5. Termination

5.1 Termination by Geonode: We may terminate or suspend your access to the Program at any time, with or without cause, with or without notice, and with no liability to you.

5.2 Termination by Affiliate: You may exit the Program by providing written notice to Geonode.

5.3 Effects of Termination:

Your affiliate privileges and access will immediately cease.
You must remove all Geonode materials and cease all promotion.
All unpaid, pending, or future commissions are automatically void, unless explicitly authorized in writing by Geonode.

6. Compliance & Legal Obligations

6.1 You are fully responsible for complying with all applicable laws including data privacy, email marketing, advertising standards, and disclosure requirements (e.g., FTC and Singapore PDPA).

6.2 You must disclose clearly and conspicuously that your posts or content contain affiliate links and that you may receive compensation.

7. Confidentiality

You agree not to disclose, misuse, or share any confidential or proprietary information obtained through the Program, including tracking performance data, customer data, commission structures, internal tools, and business strategies. This obligation survives for two (2) years post-termination. Confidential information does not include public data, information rightfully obtained from a third party, or information independently developed without reference to Geonode materials.

8. Limitation of Liability

8.1 To the fullest extent permitted by law:

Geonode disclaims all warranties, including implied warranties of merchantability or fitness for a particular purpose.
Geonode shall not be liable for indirect, incidental, consequential, special, or punitive damages.
Our maximum liability for any claim under this Agreement is capped at the total commission earned by you in the preceding twelve (12) months.

8.2 The Program is provided “as-is” and “as-available.”

Geonode disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted service. Geonode does not guarantee that the affiliate tracking system, payouts, or dashboard will function without error or interruption.

9. Indemnification

You agree to indemnify, defend, and hold harmless Geonode, its officers, directors, and employees from any loss, claim, damage, or liability (including legal fees) arising from:

Your breach of this Agreement
Your violation of any law or third-party rights
Your misconduct or misrepresentation

10. Governing Law & Disputes

This Agreement is governed by the laws of the Republic of Singapore, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising under or in connection with this Agreement.

11. Changes to Program Terms

We reserve the right to change, suspend, or cancel the Program or any part of this Agreement at any time, without notice. Your continued participation constitutes your acceptance of such changes. If you disagree, your sole remedy is to withdraw from the Program.

12. Export Compliance

You agree not to use, promote, or distribute Geonode services in violation of applicable export laws and sanctions, including but not limited to those of the United States, European Union, Singapore, and United Nations. You may not promote Geonode to any individual or organization located in a restricted country or on a sanctions list, such as the OFAC Specially Designated Nationals List or BIS Entity List.

13. Assignment

You may not assign, transfer, sublicense, or delegate your rights or obligations under this Agreement without prior written consent from Geonode. Any unauthorized transfer will be null and void.

14. Force Majeure

Geonode shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government restrictions, internet outages, or system failures.

By participating in the Geonode Affiliate & Referral Program, you acknowledge and agree to these Terms in full.
